Terms of Service

These Terms of Service ("Terms") govern your use of the Clianta desktop application and cloud platform at app.clianta.com (collectively, the "Service"), operated by Clianta ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
To use certain features, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
3. Description of Service
Clianta is an Instagram outreach tool that allows you to send direct messages, manage leads, and automate follow-ups. The Service includes a desktop application and an optional cloud platform. You are solely responsible for the content of messages you send and the accounts you connect.
4. Subscriptions and Billing
Free Plan
The free plan provides limited access to the Service at no charge, with no credit card required and no time limit.
Paid Plans
Paid plans (Scale, Power) are billed on a recurring monthly or yearly basis through Stripe. By subscribing, you authorize us to charge the payment method on file at the beginning of each billing cycle.
Free Trial
Certain paid plans may include a free trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will not be charged during the trial period.
Price Changes
We may change our prices at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the change.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:
- You retain access to paid features until the end of your current billing period.
- No partial refunds are provided for unused time in the current billing period.
- Your data remains accessible and exportable after cancellation.
Refunds may be issued at our sole discretion for exceptional circumstances. To request a refund, contact hello@clianta.com within 7 days of the charge.
6. Acceptable Use
You agree to use the Service in compliance with all applicable laws and Instagram's Terms of Use. You agree NOT to:
- Send spam, unsolicited bulk messages, or harassing content
- Use the Service to promote illegal activities or prohibited goods/services
- Impersonate another person or entity in your outreach
- Use the Service with stolen, hacked, or unauthorized Instagram accounts
- Attempt to circumvent rate limits, security measures, or access controls
- Reverse-engineer, decompile, or create derivative works of the software
- Share, resell, or sublicense your account to third parties
- Use the Service to target minors or vulnerable individuals
We reserve the right to suspend or terminate accounts that violate these rules without prior notice or refund.
7. Instagram Disclaimer
Clianta is an independent product and is not affiliated with, endorsed by, or officially connected to Instagram or Meta Platforms, Inc. in any way. "Instagram" is a trademark of Meta Platforms, Inc.
You are solely responsible for complying with Instagram's Terms of Use and Community Guidelines. We do not guarantee that your use of the Service will not result in restrictions or actions taken by Instagram on your account. Use of automation tools carries inherent risk, and you accept that risk by using the Service.
8. Your Data and Content
You retain ownership of all data you provide to the Service, including leads, messages, templates, and account information. We do not claim any intellectual property rights over your content.
You grant us a limited license to process your data solely for the purpose of providing the Service. We will not share, sell, or use your data for any purpose other than operating the Service, as described in our Privacy Policy.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.
Features may change over time. We may add, modify, or remove features at our discretion. We will provide reasonable notice for changes that materially reduce the functionality of your current plan.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- We do not warrant that the Service will be error-free, secure, or uninterrupted.
- We are not liable for any Instagram account restrictions, bans, or actions resulting from your use of the Service.
- We are not liable for any lost revenue, lost data, or indirect, incidental, special, or consequential damages arising from your use of the Service.
- Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Clianta, its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including Instagram's Terms of Use).
12. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in abusive behavior, or for any other reason at our discretion. Upon termination:
- Your right to use the Service ceases immediately.
- You may request an export of your data within 30 days of termination.
- We may delete your data after 30 days following termination.
You may terminate your account at any time by contacting us or through your account settings.
13. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Clianta and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Clianta operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts of competent jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
